Auto Shot Services, LLC Terms of Service Agreement

Eligibility:

To use Auto Shot Services, LLC, you must be at least 18 years old. "You" refers to you, your company, employees, and anyone who has access to your Auto Shot Services account.

License:

Auto Shot Services, LLC grants you a non-transferable, non-exclusive license to use the software (in object code form only) that is provided as part of the Services, strictly for your personal or business use. You may not use the software for any third-party benefit unless expressly authorized in writing by Auto Shot Services, LLC.

Changes to the Terms:

Auto Shot Services, LLC reserves the right to modify or update these Terms at any time without prior notice. Your continued use of the Services after any such changes will constitute your acceptance of the modified Terms. Access and Use of Services

You may begin using the Services as soon as your account is created and the setup process is complete. Certain Services may be unavailable initially while we configure them.

Acceptable Use of the Services

When using the Services, you agree to adhere to the following guidelines regarding the files, photos, documents, audio, digital works, live streams, and videos ("Your Content") that you upload, store, share, or broadcast:

• Comply with all applicable partner service terms and codes of conduct.
• Maintain the confidentiality of your account login credentials.
• Notify Auto Shot Services, LLC immediately of any security breaches.
• Do not engage in any activity that could harm Auto Shot Services, LLC or its affiliates.
• Avoid using the Services in ways that could damage, disable, or impair its functionality.
• Do not resell or redistribute the Services without prior written approval from Auto Shot Services, LLC.
• Do not use the Services for "spam" (unsolicited bulk messages).
• Do not manipulate the Services to mislead users or influence rankings, ratings, or comments.
• Do not attempt to bypass restrictions on access to Services.

Legal Compliance

You are responsible for ensuring that your use of the Services complies with all applicable laws and regulations. This includes compliance with:

• The Gramm-Leach-Bliley Act (GLBA)
• The Consumer Financial Protection Bureau (CFPB) regulations
• Federal Trade Commission (FTC) rules
• The Telephone Consumer Protection Act (TCPA)
• Spam laws, including the CAN-SPAM Act, CASL, and similar regulations
• Data security and privacy regulations governing personal or sensitive information

You also agree to:

• Verify the accuracy of information presented to customers, governmental agencies, or third parties.
• Secure any consumer information you collect and implement reasonable security procedures.

Account Responsibility

You are fully responsible for all activities that occur under your account, including activities by your employees or third parties. You must ensure the security of your authentication credentials and notify Auto Shot Services, LLC immediately of any misuse or security breaches.

Charges and Billing

This section applies if you directly pay Auto Shot Services, LLC for any service.

• Service Fees: Fees for the Services will be as specified in the Confirmation of Services. Fees are billed monthly, unless otherwise stated. Auto Shot Services, LLC may adjust fees with 30 days' notice.
• Taxes: You are responsible for all applicable taxes, which will be invoiced if Auto Shot Services, LLC is required to collect them. If you are tax-exempt, you must provide an official tax exemption certificate.
• Payment: When you sign up, you must provide a valid payment method. You authorize Auto Shot Services, LLC to charge this method for Services and any additional features you use.
• Renewal: If your subscription automatically renews, we will charge your authorized payment method. To cancel, you must provide written notice at least one month before the subscription ends.
• Billing Account Updates: Keep your billing information accurate and up-to-date. If you cancel your payment method without providing an alternative, Auto Shot Services, LLC may suspend your service.
• Trial Period Offers: Free trials may result in account downgrade or closure at the trial's end, and your data may be deleted.
• Prices and Price Increases: Prices may change after promotional periods, and new charges may apply.
• Service Conversion: If you switch services, Auto Shot Services, LLC may charge you for any new service, including adjusting fees for any previous service.

Refund Policy

All charges are non-refundable unless stated otherwise or required by law. If there is an error in your bill, you must notify Auto Shot Services, LLC within 120 days for a resolution.

Late Payments

If you fail to pay on time, Auto Shot Services, LLC may charge a late fee and suspend or cancel your service. The late fee will be the lesser of 1% of the unpaid amount per month or the maximum rate allowed by law. Any third-party collection costs will be your responsibility.

Changes to the Services; Cancellation, Suspension, or Termination

• By Auto Shot Services, LLC: We reserve the right to modify, update, or discontinue any part of the Services at any time, without prior notice and for any reason. Additionally, we may suspend or terminate your service or any portion of it, at any time and without notice, especially if you breach these Terms. If your service is canceled, your access to the Services will cease immediately. Cancellation of the Services does not relieve you from your obligation to pay any outstanding charges. In the event of cancellation by us without cause, we will refund a pro-rata amount for any unused portion of your service fees.
• By You: If you are subscribed to a monthly service, you must provide written notice of cancellation at least one month before your subscription ends. You may cancel your service at any time for any reason, but early cancellation does not entitle you to a refund for the remaining subscription period. Some Services may carry cancellation fees, and you agree to pay any such fees as detailed in the relevant service materials. Even if you cancel, you are still responsible for any charges incurred before the cancellation date.
• Data: Upon termination or cancellation of the Services by either you or us, Auto Shot Services, LLC may delete all your data from our servers. It is your responsibility to back up your data prior to termination. Auto Shot Services, LLC is not liable for any loss of data following the cancellation or termination of the Services.
• Temporary Suspension: Auto Shot Services, LLC may suspend your access to any or all of the Services immediately if we determine that:
• Your or an Authorized UserÃ??s use of the Service poses a security risk, could negatively affect our systems or those of other users, could create liability for Auto Shot Services, LLC, or could be fraudulent.
• You or an Authorized User has breached these Terms, including failing to respond to compliance or audit requests in a timely manner.
• You are in breach of your payment obligations.
• You cease operating in the ordinary course of business, make an assignment for the benefit of creditors, or become subject to bankruptcy, reorganization, liquidation, or similar proceedings.

Your Content

Our Services allow you to upload, store, share, or receive various types of content, including files, photos, documents, audio, digital works, livestreams, and videos ("Your Content"). You retain ownership of Your Content, and you are solely responsible for it.

• Sharing Your Content: By sharing Your Content with others, you acknowledge that they may use, save, record, reproduce, transmit, and display Your Content worldwide, without compensating you. If you do not wish for others to have such rights, do not use our Services to share Your Content.
• Rights to Your Content: You represent and warrant that you have all necessary rights and permissions for the content you upload, store, or share through the Services. You confirm that your content complies with all applicable laws and does not infringe upon the rights of others. Auto Shot Services, LLC is not responsible for Your Content or any content uploaded, stored, or shared by others using the Services.
• License to Auto Shot Services, LLC: To provide the Services to you and others, and to protect and improve our offerings, you grant Auto Shot Services, LLC a worldwide, royalty-free license to use Your Content as necessary. This includes the right to copy, retain, transmit, display, reformat, and distribute Your Content through communication tools on the Services.
• Public Content: If you post Your Content in public areas of the Services where it is accessible to all users, Your Content may be used in promotional demonstrations or marketing materials to showcase the Service.

Privacy

Your privacy is important to us. Please review the Auto Shot Services, LLC Privacy Policy, which outlines the types of data we collect from you and your devices ("Data") and how we use that Data. By using the Services or agreeing to these Terms, you consent to Auto Shot Services, LLC's collection, use, sharing, sale, transfer, and/or disclosure of Your Content and Data as described in the Privacy Policy.

• Performance and Usage Data: To provide you with the Services, we may collect certain information related to service performance, your device, and your usage of the Service. This data may be automatically uploaded from your device and will not personally identify you.
• Filtering Technology: We may utilize technology or other means to protect the Services, our customers, and to prevent breaches of these Terms. Examples include using filters to block spam, viruses, or enhance security. These measures may, at times, restrict your use of the Services.
• Collection and Use of Information: You acknowledge that we may collect, obtain, use, share, disclose, and analyze data and information provided by you or your customers while using the Services, for our internal business purposes, as disclosed to you, or in other ways permitted by law. If you provide or share information with us, you are responsible for ensuring that you have obtained all necessary consents and that such information sharing complies with applicable laws, including any consumer opt-out requirements.

Service Availability

• The availability of the Services, Third-Party Apps, materials, or products offered through the Services may vary and are subject to interruptions. Some Services may only be available for a limited time or may differ based on your region or device. If your business relocates, certain Services previously available in your old location may no longer be accessible, and you may need to reacquire materials or applications that were once available to you.
• While Auto Shot Services, LLC makes every effort to ensure continuous service, occasional disruptions and outages are inevitable in online services. Auto Shot Services, LLC is not liable for any disruptions or losses you experience as a result. During outages, access to Your Content or Data stored on the Services may be temporarily unavailable.

Force Majeure:

Auto Shot Services, LLC is not responsible for delays, failures, damages, lost profits, or other losses caused directly or indirectly by any event beyond our control, including but not limited to natural disasters (e.g., fires, earthquakes, hurricanes), wars, labor disputes, communication failures, legal restrictions, power outages, data transmission failures, data loss, or any other similar event.

Use of Third-Party Apps and Services

Auto Shot Services, LLC’s Services may provide you with access to or enable you to acquire products, services, websites, content, links, materials, or applications offered by third parties that are not affiliated with Auto Shot Services, LLC (“Third-Party Apps and Services”). Some Services may even help you locate or use these Third-Party Apps and Services. By using Auto Shot Services, LLC’s Services to access Third-Party Apps and Services, you acknowledge that you are requesting us to connect you with these third-party offerings.

• Additional Terms and Privacy Policies: When using Third-Party Apps and Services, you may be required to accept additional terms of use or review separate privacy policies. These third parties may also offer storage for Your Content or Data through their services. It is important that you carefully review any additional terms and privacy policies associated with Third-Party Apps and Services, as these are independent agreements and do not alter the Terms of Service between you and Auto Shot Services, LLC.
• Responsibility for Third-Party Interactions: You are solely responsible for all interactions and transactions with third parties. Auto Shot Services, LLC does not provide any warranties, endorsements, or intellectual property rights for Third-Party Apps and Services, and is not responsible for the accuracy, reliability, or availability of the information or services offered by these third parties.
• Independence of Third-Party Services: While Auto Shot Services, LLC may facilitate access to third-party offerings, it is your responsibility to review and agree to any additional terms or privacy policies associated with those services. You are fully accountable for your dealings with these third parties, and Auto Shot Services, LLC is not liable for the actions, content, or services provided by third parties.

Your Representations and Warranties

You represent and warrant that:

• The products and services you advertise, sell, and distribute are legally permitted for sale and distribution and do not violate these Terms.
• You hold all necessary licenses to sell, distribute, and advertise the goods and services you offer.
• All sales and advertisements will comply with all applicable laws.
• You will maintain the confidentiality of your password.
• You will comply with all relevant laws and regulations, including, without limitation, all privacy laws governing the collection, use, sharing, disclosure, sale, or transfer of information from consumers, customers, or third parties.

Limitation of Liability

AUTO SHOT SERVICES, LLC, its affiliates, and licensors will not be liable to you for any direct, indirect, incidental, special, consequential, or exemplary damages (including damages for loss of profits, revenues, customers, opportunities, goodwill, use, or data), even if they have been advised of the possibility of such damages. Additionally, neither Auto Shot Services, LLC nor any of its affiliates or licensors will be responsible for any compensation, reimbursement, or damages arising from:

• (A) Your inability to use the Services, including due to any:
• (i) Termination or suspension of this Agreement or your access to or use of the Services,
• (ii) Discontinuation of any or all of the Services,
• (iii) Any unanticipated or unscheduled downtime of all or part of the Services for any reason.
• (B) The cost of procuring substitute goods or services.
• (C) Any investments, expenditures, or commitments you made in connection with this Agreement or your use of or access to the Services.
• (D) Any unauthorized access to, alteration of, or the deletion, destruction, damage, loss, or failure to store your Content or other data.

Auto Shot Services, LLC and its affiliates’ and licensors’ total liability under this Agreement will not exceed the amount you actually paid Auto Shot Services, LLC for the Service that gave rise to the claim in the six (6) months prior to when the liability arose. These limitations apply to the fullest extent permitted by applicable law.

Disclaimers

The Services are provided "as is." Except to the extent prohibited by law or where statutory rights apply that cannot be excluded, limited, or waived, Auto Shot Services, LLC and its affiliates and licensors:

• (A) Make no representations or warranties of any kind, whether express, implied, statutory, or otherwise, regarding the Services or third-party content, and
• (B) Disclaim all warranties, including any implied or express warranties:
• (i) Of merchantability, satisfactory quality, fitness for a particular purpose, non-infringement, or quiet enjoyment,
• (ii) Arising out of any course of dealing or usage of trade,
• (iii) That the Services, service content, or third-party content will be uninterrupted, error-free, or free of harmful components, and
• (iv) That any content will be secure or not otherwise lost or altered.
